Partner Programme Terms & Conditions

1. Introduction and acceptance

These Partner Programme Terms & Conditions ("Partner Terms") govern your application for and participation in the PayFindom Partner Programme ("Programme").

By submitting a partner application, accessing a partner account, using a referral link or otherwise participating in the Programme, you agree to these Partner Terms, the PayFindom Terms of Service, the Privacy Policy, the Acceptable Use Policy, the Content Policy and other policies expressly incorporated into them.

If you participate for a company or other organisation, you represent that you have authority to bind that organisation. In that case, "you" includes both you and that organisation.

2. Eligibility and application

You must be at least 18 years old, have legal capacity to enter into this agreement and be permitted to participate under the laws applicable to you. You must provide complete, accurate and current information throughout the application and Programme.

Unless PayFindom approves otherwise in writing, you may maintain only one partner account. You may not participate if you are subject to applicable trade sanctions, acting for a prohibited person, or using the Programme for unlawful activity.

PayFindom may approve, decline or request further information about an application at its reasonable discretion. Submission of an application does not guarantee acceptance. We may require identity, business, tax, payment or compliance verification before approval or payment.

3. Independent relationship

You participate as an independent contractor. These Partner Terms do not create employment, agency, franchise, fiduciary, partnership or joint-venture relationships. You may not represent that you are an employee, agent or authorised representative of PayFindom.

You have no authority to enter into commitments, make warranties, accept obligations or speak on behalf of PayFindom.

4. Permitted promotion

You may share your assigned referral link with suitable prospective creators through lawful websites, social media, direct communications, educational materials, reviews and other channels that comply with these Partner Terms.

Your statements must be truthful, accurate and capable of substantiation. You must not exaggerate PayFindom's services, imply guaranteed earnings or results, or omit information where the omission would make your promotion misleading.

Whenever you promote PayFindom in circumstances where your commission relationship may affect how a reasonable person evaluates the recommendation, you must clearly and conspicuously disclose that you may receive compensation. The disclosure must be close to the promotion or referral link and understandable to the intended audience.

5. Prohibited conduct

You must not, directly or indirectly:

• send unlawful or unsolicited bulk messages, spam or automated solicitations;
• contact anyone who has opted out or asked not to be contacted;
• use false, deceptive or misleading statements, identities, testimonials or reviews;
• create fake, duplicate, automated or controlled creator accounts;
• refer yourself or arrange circular, collusive or artificial referrals;
• buy, sell, exchange or manufacture referrals, clicks, accounts or qualifying activity;
• use bots, scripts, forced redirects, hidden frames, cookie stuffing or attribution manipulation;
• interfere with referral tracking, security, fraud controls or platform operations;
• bid on, purchase or register PayFindom trademarks or confusingly similar terms as domains, usernames, advertising keywords or account names without written permission;
• impersonate PayFindom or create a website, profile or communication that appears to be operated by PayFindom;
• promote illegal content, exploitation, harassment, coercion, non-consensual activity or other prohibited conduct;
• violate intellectual-property, privacy, publicity or other rights; or
• assist another person in doing any of the above.

6. Referral attribution

A referral is attributed only when PayFindom's systems validly record an eligible person through your active referral code or another attribution method expressly approved by PayFindom.

A click, visit, application or account registration does not by itself create an entitlement to commission. Attribution may be rejected or corrected where information is missing, duplicated, manipulated, fraudulent, technically invalid or inconsistent with these Partner Terms.

Where more than one person claims the same referral, PayFindom's records and attribution rules will control, except where a clear technical error is established.

7. Eligible commissions

Your dashboard may display a commission rate and estimated, pending, approved or paid rewards. A commission becomes payable only after all applicable eligibility conditions are satisfied, including valid attribution, qualifying activity, successful settlement of relevant payments and completion of fraud, risk and compliance checks.

Pending amounts are estimates and are not debts due to you. Approved amounts remain subject to correction for refunds, chargebacks, reversals, fraud, duplicate attribution, calculation errors and violations discovered before or after approval.

Unless PayFindom expressly agrees otherwise in writing, commission is calculated using PayFindom's records and the rate displayed for your account when the relevant eligible activity occurs.

8. Adjustments, reversals and withholding

PayFindom may withhold, reduce, offset, reverse or cancel commissions reasonably connected with:

• refunds, disputes, chargebacks or failed payments;
• fraudulent, unlawful, artificial or abusive activity;
• duplicate, incorrect or invalid attribution;
• breach of these Partner Terms or another applicable policy;
• technical, clerical, pricing or calculation errors;
• tax, sanctions, identity or payment-verification requirements; or
• amounts you otherwise owe PayFindom.

PayFindom may temporarily hold payments while reasonably investigating suspicious activity or satisfying legal, payment or compliance obligations.

9. Payment and verification

Payments are made through the payout methods and timetable supported by PayFindom at the relevant time. Availability, minimum thresholds, processing times, currencies and fees may vary by jurisdiction, provider and account.

You must provide accurate payment, identity and tax information. You are responsible for ensuring that your chosen payout account can lawfully receive funds. PayFindom is not responsible for delay or loss caused by inaccurate information, provider restrictions or events outside its reasonable control.

No payment is required where payment would violate applicable law, sanctions, a binding government order, payment-network rules or PayFindom's lawful compliance obligations.

10. Taxes

You are responsible for determining, reporting and paying taxes, duties, social charges, VAT, GST or similar obligations arising from your participation and payments. PayFindom may request tax forms, report payments or withhold amounts where required by law.

11. Privacy and communications

PayFindom processes partner application, account, referral, attribution, device, communications, payment and compliance information as described in the Privacy Policy.

Where you independently collect personal information, choose recipients or send promotional communications, you are responsible for having an appropriate legal basis, providing required notices, honouring opt-outs and complying with applicable privacy, direct-marketing and electronic-communications laws.

You must not provide PayFindom with sensitive or unnecessary personal information about a prospective referral. You may not sell, disclose or misuse referral, creator or dashboard information.

12. Intellectual property and brand use

Subject to these Partner Terms, PayFindom grants you a limited, revocable, non-exclusive, non-transferable licence to use materials expressly supplied or approved for Programme promotion.

You may not modify PayFindom branding in a misleading way, claim ownership, sublicense it, combine it with unlawful or harmful content, or use it after suspension or termination. All goodwill arising from permitted use benefits PayFindom.

13. Confidentiality

You must protect non-public information obtained through the Programme, including unpublished commercial terms, internal processes, security information, creator data and confidential communications. You may use it only to participate lawfully in the Programme.

This obligation does not cover information that becomes public through no breach by you, was lawfully known to you without restriction, or must be disclosed by law. Where legally permitted, you should give PayFindom reasonable notice before compulsory disclosure.

14. Monitoring and records

PayFindom may monitor Programme activity, investigate suspected abuse and request reasonable evidence of promotional methods, disclosures, consent or referral provenance. You must cooperate honestly with reasonable compliance inquiries.

You should retain records reasonably necessary to demonstrate lawful promotion and required disclosures for the period required by applicable law.

15. Suspension and termination

PayFindom may restrict referral links, hold payments, suspend or terminate participation where it reasonably believes this is needed to investigate or address fraud, abuse, unlawful conduct, policy violations, security risks, reputational harm, non-cooperation or legal and payment obligations.

Where appropriate, PayFindom may provide the reason and an opportunity to respond. Immediate action may be taken where delay could expose users, PayFindom or another person to material risk.

You may stop participating at any time. On termination, your licence to use Programme materials and your authority to promote yourself as a PayFindom partner end immediately.

Legitimate commissions approved before termination may remain payable, subject to verification, offsets and applicable law. Commissions associated with fraud, abuse or a material breach may be forfeited to the maximum extent permitted by law.

16. Programme changes

PayFindom may modify Programme features, eligibility requirements, attribution rules, rates, payment methods and these Partner Terms. Material changes will be communicated through the website, dashboard, email or another reasonable channel where required.

Unless stated otherwise, changes apply prospectively from their effective date. Continued participation after the effective date constitutes acceptance. If you do not agree, you must stop participating.

17. No guarantee and disclaimers

The Programme is provided on an "as is" and "as available" basis to the maximum extent permitted by law. PayFindom does not guarantee approval, uninterrupted referral tracking, any volume of referrals, conversions, earnings, payment timing or continued availability of the Programme.

Nothing in these Partner Terms excludes warranties or rights that cannot lawfully be excluded.

18. Limitation of liability

To the maximum extent permitted by law, PayFindom and its affiliates, officers, directors, employees and service providers will not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, or for lost profits, revenue, goodwill, data or business opportunity arising from the Programme.

To the maximum extent permitted by law, PayFindom's aggregate liability arising from the Programme will not exceed the greater of one hundred United States dollars (US $100) or the commissions paid or payable to you during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited, including liability arising from fraud or wilful misconduct where applicable law prohibits limitation.

19. Indemnity

To the maximum extent permitted by law, you will defend, indemnify and hold harmless PayFindom and its affiliates, officers, directors, employees and service providers from third-party claims, losses, liabilities, penalties, costs and reasonable legal fees arising from your promotions, your breach of these Partner Terms, your unlawful conduct or your infringement of another person's rights.

20. Governing law and disputes

These Partner Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Subject to any mandatory law that applies despite this provision, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Partner Terms, and each party consents to their personal jurisdiction.

Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute through written notice and reasonable discussion for at least 30 days, unless urgent injunctive relief is reasonably required.

21. General provisions

You may not assign or transfer your participation without PayFindom's written consent. PayFindom may assign these Partner Terms as part of a merger, reorganisation, financing, asset transfer or change of control.

If any provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. These Partner Terms and incorporated policies constitute the complete agreement concerning the Programme.
